Licensing an Accounting or Bookkeeping Firm in Dubai

The accounting firm licence Dubai founders need depends on the services offered. Bookkeeping and accounting are licensed as professional activities on the mainland or in a free zone. Statutory audit requires federal licensing by the Ministry of Economy and Tourism, and acting for clients before the Federal Tax Authority requires tax agency registration. All three carry anti-money laundering duties.
Key pointThe audit licence attaches to qualified individuals as well as the firm, so build an audit plan around a signing partner who already meets the Ministry's education, fellowship and experience criteria.
At a glance
Bookkeeping is simplest
Bookkeeping and accounting services are licensed as professional activities by DET on the mainland or by a free zone authority, without a federal auditor licence.
Audit needs federal licence
Federal Decree-Law No. 41 of 2023 requires auditors and audit firms to be licensed by the Ministry of Economy and Tourism; unlicensed practice is a criminal offence.
Auditor register criteria
Individuals need a recognised accounting degree, a fellowship certificate, five years' post-qualification audit experience, good conduct and, for non-citizens, some in-country experience.
Tax agency is separate
Representing clients before the FTA needs a registered tax agency with a licence as an audit, tax or law firm and at least one linked individual agent.
AML applies from day one
Accountants and auditors are DNFBPs under Federal Decree-Law No. 10 of 2025 and must register on goAML and run a risk-based compliance programme.

The short answer: which accounting firm licence Dubai founders need
The accounting firm licence Dubai founders need depends on what the firm will actually do. Bookkeeping, accounting and financial reporting support can be licensed as a professional activity by the Dubai Department of Economy and Tourism on the mainland or by a free zone authority. Statutory audit is different: under federal law, only auditors and audit firms licensed by the Ministry of Economy and Tourism may practise it. Acting for clients before the Federal Tax Authority is a third, separate track that requires tax agent registration.
So a firm offering bookkeeping only has the simplest route. A firm that wants to sign audit reports or act as a registered tax agency needs more than a basic accounting firm licence Dubai issues; it must build its licensing, ownership and staffing around those additional regimes from the start. All three types of firm also carry anti-money laundering obligations as designated non-financial businesses.

Three activities, three regimes behind an accounting firm licence Dubai applicants request
Founders applying for an accounting firm licence Dubai authorities will issue often describe their business as an accounting firm when it will in fact combine several regulated activities. Separating them early avoids applying for the wrong licence.
| Service | Licensing authority | Professional requirement | Key law or rule |
|---|---|---|---|
| Bookkeeping, accounting, payroll, management reporting | DET (mainland) or the free zone authority | Activity-specific conditions set by the licensing authority; no federal auditor licence needed for non-audit work | Emirate or free zone licensing rules |
| Statutory and other audit and assurance engagements | Ministry of Economy and Tourism, plus the emirate or zone licence | Registration in the practising auditors register; firm licensed in a permitted form; professional indemnity insurance | Federal Decree-Law No. 41 of 2023 on regulating the auditing and accounting professions |
| Representing clients before the Federal Tax Authority | Federal Tax Authority | Registered tax agency with at least one registered individual tax agent linked to it | Tax Procedures Law and FTA decisions on tax agents |
| Audit of DIFC or ADGM entities that must be audited | DFSA or ADGM registration, as applicable | Registration with the centre's regulator or registrar | DIFC and ADGM rules |
Free zones may add a layer: DMCC, for example, keeps its own approved auditor list, and other zones require their companies to use auditors meeting zone criteria. Our guide to registered auditor requirements in the UAE covers those lists in detail.
Licensing a bookkeeping or accounting services firm
For non-audit services, the accounting firm licence Dubai authorities issue is a professional licence covering the relevant accounting and bookkeeping activities. The practical decisions are the jurisdiction, the legal form and the activity description.
Mainland or free zone
A mainland licence from DET lets the firm serve clients across the UAE onshore and is often preferred by firms targeting mainland SMEs. It requires a registered office lease in Dubai. A free zone licence can be quicker and allows flexible office packages, and free zone firms can generally serve clients outside the UAE and, for many professional services, clients elsewhere in the UAE; check the zone's rules and how your clients will contract with you. Our comparison of mainland and free zone companies explains the trade-offs.
Legal form
Professional firms may be set up as sole establishments, civil companies or limited liability companies, depending on the activity and authority. Some mainland professional structures for foreign individuals have historically involved a local service agent; confirm the current DET requirement for your chosen form and activity before drafting documents.
Activity description
Choose activities that match the services you will actually provide. A licence covering bookkeeping does not authorise audit opinions, and describing services as audit or assurance on a website without the federal licence is a regulatory risk. If you plan to add audit or tax agency later, choose a structure that can be extended without rebuilding the company.
Becoming a licensed audit firm
Federal Decree-Law No. 41 of 2023 replaced the 2014 auditing law and requires auditors and audit firms to be licensed by the Ministry of Economy and Tourism. Practising without a licence is a criminal offence, and the law gives a professional compliance committee disciplinary powers including fines, suspension and cancellation.
The individual auditor
The ministry's register service for practising auditors lists the requirements for individuals. In summary, applicants need a bachelor's degree in accounting or another recognised specialisation (with additional approved accounting credit hours if the degree is not in accounting), a valid fellowship certificate from a recognised professional body, at least five years of practical audit experience after qualifying, and good conduct. Non-citizens also need a period of in-country experience that shortens as their overseas experience increases. The ministry publishes an application fee and a three-year registration fee on the same page.
The firm
The law permits audit firms in specified forms, including professional companies of registered auditors, professional companies combining local auditors with an international firm and branches of international firms. Firms must carry professional indemnity insurance. The previous requirement for UAE national ownership of audit firms is not carried into the 2023 law in the same form, which has opened the market to fully foreign-owned firms, subject to the implementing regulation and licensing conditions.
Plan the audit licence around a real, qualified partner who will sign reports. The licence attaches to registered individuals as well as the firm, so a firm built around a founder who does not meet the experience requirements will not be able to issue audit reports, whatever its trade licence says.
Registering as a tax agency
Many accounting firms want to represent clients before the Federal Tax Authority. The FTA's tax agent registration service distinguishes between individual tax agents and tax agencies.
- Individual tax agents need a recognised degree in tax, accounting or a related field (or another degree with an international tax qualification), relevant experience, a VAT or corporate tax diploma, language evidence where applicable, good conduct and professional indemnity cover. Their status only becomes active once a registered tax agency appoints them.
- Tax agencies need a trade licence to operate as an audit, tax or law firm, a certificate of incorporation, a letter appointing the supervising director or partner and at least one registered individual tax agent linked to the firm.
The FTA publishes separate registration fees for individual agents and agencies. Our guide on choosing a tax agent in the UAE explains the agent's legal position and liability.
The accounting firm licence Dubai process, step by step
- Define the service lines. Decide whether the firm will offer bookkeeping only, or also audit and tax agency, now or later.
- Check qualifications. Confirm that partners and key staff meet the auditor and tax agent criteria if those services are planned, and obtain attested degree certificates.
- Choose jurisdiction and legal form. Mainland DET licence or free zone, and the corporate or professional form that suits the service lines and ownership.
- Reserve the trade name and obtain initial approval. Choose activities carefully and avoid names that suggest unlicensed audit services.
- Secure premises and the licence. Sign and register the lease, submit constitutional documents and obtain the trade licence.
- Add federal registrations. Apply to the Ministry of Economy and Tourism for auditor and firm licensing, and to the FTA for tax agency registration, where relevant.
- Set up AML compliance. Register on goAML, appoint a compliance officer and adopt a risk-based programme before taking clients.
- Register the firm for tax. Register for corporate tax and, once over the threshold, VAT, and plan for e-invoicing obligations.
AML and ongoing compliance for accounting firms
Accountants and auditors are designated non-financial businesses and professions under the federal AML law, now Federal Decree-Law No. 10 of 2025. On the mainland and in commercial free zones they are supervised by the Ministry of Economy and Tourism. They must register on goAML, assess their own risks, carry out customer due diligence, screen against sanctions lists and report suspicious transactions. See our guide to AML obligations for DNFBPs.
Ongoing obligations also include licence renewals, maintaining auditor and tax agent registrations, continuing professional development where required, professional indemnity insurance, data protection compliance for client records and engagement terms that limit liability where the law allows.
Illustrative scenario: from bookkeeping to audit
Illustrative only; generic parties. Two accountants plan a Dubai firm. One is a chartered accountant with long audit experience abroad but no UAE experience; the other has run SME bookkeeping teams in Dubai. They want to offer bookkeeping immediately and audit within two years.
They start with a mainland professional licence for accounting and bookkeeping, deliberately avoiding audit language in the name and marketing. The experienced auditor works towards the in-country experience required for registration. Meanwhile, the firm registers as a tax agency once its tax specialist is registered as an individual agent. When the auditor qualifies, the firm applies for audit licensing in a permitted form and seeks inclusion on the approved lists of the free zones where its clients sit.
Risks and common mistakes
Marketing audit services without a federal licence
Bookkeeping firms sometimes describe their services as audit, assurance or audit support in ways that imply they issue audit opinions. Practising audit without a Ministry of Economy and Tourism licence is a criminal offence under the 2023 law, and misleading marketing can also raise consumer and commercial issues. Clients relying on an unlicensed report may find it rejected by a free zone or bank.
Keep service descriptions precise and partner with a licensed audit firm for audit work until you hold the licence.
Building the firm around an ineligible signing partner
The auditor register sets education, fellowship, experience and conduct requirements, and non-citizens need some in-country experience. Founders who assume overseas qualifications are enough can find the audit plan delayed for years.
Check eligibility against the ministry criteria before committing to an audit-led business plan.
Treating AML as optional for a small firm
Small accounting firms are within the AML regime and have been subject to supervisory action for failing to register on goAML or to maintain a compliance programme. Penalties can be significant and are published.
Register, appoint a compliance officer and document your risk assessment before onboarding clients.
Weak engagement letters and liability terms
Accounting firms are exposed to claims when a client suffers a tax penalty, a rejected filing or a loss attributed to inaccurate records. Engagement letters that do not define scope, client responsibilities, reliance by third parties and limits of liability leave the firm exposed. The new Civil Transactions Law, in force from 1 June 2026, is the backdrop against which these terms will be interpreted onshore.
Use tailored engagement terms for each service line, align them with your insurance cover and review them as the law develops.
Assuming a free zone licence lets you audit everywhere
Free zones keep their own approved auditor lists and conditions, and DIFC and ADGM have separate registration, such as DFSA auditor registration. A firm licensed in one zone may not be accepted as auditor for companies in another.
Map where your target clients are licensed and apply for the relevant listings.
Cross-border angle: international networks and overseas qualifications
Many new Dubai practices are linked to an accounting firm or network abroad, or are founded by accountants trained in India, Bangladesh, Pakistan, the UK or elsewhere. That raises three practical questions for the accounting firm licence Dubai application.
First, qualifications. Degrees and professional fellowships obtained abroad usually need attestation and, for audit and tax agent registration, recognition by the relevant UAE authority. Allow time for the attestation chain in the home country and the UAE embassy, then the UAE Ministry of Foreign Affairs.
Second, structure. An international firm can enter as a branch or combine with local registered auditors in a professional company, as the 2023 law permits. A branch exposes the overseas firm to UAE liabilities directly, while a local company ring-fences them but needs its own governance. Name and brand licensing from the network should be documented, along with quality control and data-sharing arrangements.
Third, data. Client files often move between the Dubai office and offshore delivery centres. Federal data protection rules, and the separate DIFC and ADGM regimes, affect how personal data in client records can be transferred, so outsourcing and confidentiality terms need to be in place before work starts.

Frequently asked questions
01Do I need Ministry approval to open a bookkeeping firm in Dubai?
Not for bookkeeping alone, in most cases. Bookkeeping, accounting and payroll services are licensed as professional activities by the Dubai Department of Economy and Tourism on the mainland or by a free zone authority, subject to the conditions each authority sets for the activity. Ministry of Economy and Tourism licensing becomes necessary if the firm will practise audit, because federal law reserves audit work to licensed auditors and firms. Check the activity's current conditions with the licensing authority before applying, as requirements can change.
02Can a foreigner own an audit firm in the UAE?
The 2023 auditing law does not carry over the previous requirement for UAE national ownership of audit firms in the same form, and commentary indicates that firms may now be fully foreign-owned. The firm must still be set up in one of the permitted forms, such as a professional company of registered auditors or a branch of an international firm, and the partners who sign reports must be registered individually. The implementing regulation and Ministry licensing conditions should be checked before the structure is finalised.
03What qualifications do I need to register as an auditor in the UAE?
According to the Ministry of Economy and Tourism's register service, you need a bachelor's degree in accounting or another specialisation recognised in the UAE, with additional approved accounting credit hours if the degree is not in accounting, a valid fellowship certificate, at least five years of practical audit experience after qualifying and good conduct. Non-citizens also need in-country experience, which is shorter for those with longer overseas experience. The Ministry publishes the application and registration fees on the same service page.
04Can my accounting firm file VAT and corporate tax returns for clients?
A business can prepare returns for clients under an accounting licence, but representing clients before the Federal Tax Authority as their agent requires tax agency registration. The firm must hold a licence as an audit, tax or law firm and have at least one registered individual tax agent linked to it. Individual agents need recognised qualifications, experience, a tax diploma and professional indemnity cover. Clients remain responsible for their own returns and penalties, so engagement terms should be clear about who does what.
05Is a free zone or mainland licence better for an accounting firm?
It depends on your clients. A mainland DET licence suits firms targeting onshore SMEs and gives a clear basis for serving clients across the UAE. A free zone licence can be quicker and more flexible on office space, and many professional services firms operate successfully from free zones, but check the zone's rules on serving mainland clients. If you plan to audit, consider which free zones' approved auditor lists you need to be on, as each zone sets its own criteria.
06Do accounting firms have anti-money laundering obligations in the UAE?
Yes. Accountants and auditors are designated non-financial businesses and professions under the federal AML law, now Federal Decree-Law No. 10 of 2025. Firms on the mainland and in commercial free zones are supervised by the Ministry of Economy and Tourism. They must register on goAML, carry out a business risk assessment, apply customer due diligence, screen against sanctions lists, keep records and report suspicious transactions. Small firms are not exempt, and supervisors have taken action against firms that failed to register.
