Economic substance UAE filings are no longer required for financial years from 2023 onwards, after Cabinet Decision No. 98 of 2024 amended the regulations. Obligations and penalties for 2019 to 2022 remain, and substance now matters through corporate tax instead. This guide explains the repeal, the legacy obligations, penalty refunds and the substance tests that apply today.

Key pointThe repeal ended filings, not substance. A free zone company without real staff and decision-making in its zone can lose the 0% corporate tax rate for five tax periods, a far bigger cost than most economic substance penalties.

The short answer: where economic substance UAE rules stand now

The economic substance UAE regime that applied from 2019 no longer imposes new filings. Cabinet Decision No. 98 of 2024 amended the Economic Substance Regulations so that notifications and reports are not required for financial years from 2023 onwards, and penalties imposed for those later years are to be cancelled and refunded. For the 2019 to 2022 period, however, the obligations, reviews and penalties remain live.

Substance itself has not gone away. It has moved into the corporate tax regime. A free zone company that wants the 0% rate as a qualifying free zone person must have adequate substance in its free zone. Tax residence, treaty access and residency certificates turn on where a company is managed and controlled. Large groups face minimum tax rules that reward real activity.

This guide explains the legacy obligations, the repeal and the substance tests that now matter under UAE corporate tax.

What the Economic Substance Regulations required

The UAE introduced economic substance rules in 2019 as part of its commitments on harmful tax practices. The governing instrument became Cabinet Resolution No. 57 of 2020 on economic substance requirements, administered by the Ministry of Finance with the Federal Tax Authority (FTA) as National Assessing Authority.

The rules applied to UAE onshore and free zone licensees that carried on one or more "relevant activities": banking, insurance, investment fund management, lease-finance, headquarters, shipping, holding company, intellectual property, and distribution and service centre business. A licensee earning income from a relevant activity had to show that it conducted core income-generating activities in the UAE, was directed and managed here, and had adequate employees, premises and expenditure.

Compliance had two parts: an annual notification identifying the relevant activities, and an economic substance report for licensees that earned relevant income. Failures attracted escalating administrative penalties and could lead to information being exchanged with foreign tax authorities. The FTA's economic substance page still describes its assessment, penalty and appeal functions.

The repeal: Cabinet Decision No. 98 of 2024

In October 2024 the Ministry of Finance announced that the Cabinet had amended Cabinet Resolution No. 57 of 2020 through Cabinet Decision No. 98 of 2024. The effect is that the economic substance regime no longer applies to financial years from 2023 onwards, coinciding with the introduction of corporate tax.

Three consequences follow:

  • No new filings. Notifications and economic substance reports are not required for the 2023 and later financial years.
  • Penalty refunds. Administrative penalties for those later years are cancelled, and amounts already paid are to be refunded through the FTA.
  • Legacy period remains. Licensees remain responsible for compliance for financial years from 2019 to 2022, including responding to requests from the regulators and the FTA and settling penalties already imposed for that period.

Commentators have noted that the published summaries describe the cut-off in slightly different terms, by reference to years starting or ending after 31 December 2022. A company with a non-calendar financial year that straddles 2022 and 2023 should confirm its position against the decision itself and any Ministry of Finance guidance.

Practical point

The repeal did not wipe the slate clean. If a licensee missed a notification or report for 2019 to 2022, or received an assessment it disputes, it should deal with it now. An unresolved legacy penalty can surface during a bank's know-your-customer review, a licence renewal or due diligence on a sale.

Legacy obligations for 2019 to 2022

For the economic substance UAE legacy period, three workstreams usually matter.

Missed filings. A licensee that should have filed a notification or report for a year in the 2019 to 2022 period and did not should take advice on making the filing late, through the Ministry of Finance's economic substance portal, and on the penalty consequences.

Open assessments and appeals. The FTA assessed whether licensees met the substance test and imposed penalties. Appeals against FTA decisions are made through the Ministry of Finance's economic substance services. Deadlines for review and appeal are short, so check any open decision promptly.

Records. The regulators can review past periods for a number of years after each reporting period ends. Licensees should keep their board minutes, payroll, lease, expenditure and filing records for the legacy years, and make sure portal access survives staff and adviser changes.

Where substance matters now: corporate tax

Qualifying free zone persons

The most important economic substance UAE test today sits in the free zone regime. A qualifying free zone person can pay 0% on qualifying income only if, among other conditions, it maintains adequate substance in the free zone: its core income-generating activities must be carried out there, with adequate assets, qualified full-time employees and operating expenditure. Outsourcing to another free zone provider is possible if the company supervises it.

The detail is in Cabinet Decision No. 100 of 2023 and in Ministerial Decisions No. 229 and No. 230 of 2025, which list the qualifying and excluded activities. Failing the substance condition removes the 0% rate for the tax period and the following four periods. Our guide to qualifying free zone persons covers each condition in detail.

Tax residence and treaty access

A company incorporated in the UAE is generally a UAE tax resident, but a foreign-incorporated company can also be resident if it is effectively managed and controlled here. Conversely, a UAE company whose decisions are really taken abroad may be treated as resident elsewhere under a treaty tie-breaker. When a group asks the FTA for a tax residency certificate to claim treaty relief abroad, the foreign tax authority will often look behind it for real management and activity in the UAE.

Transfer pricing and anti-abuse rules

Profits allocated to a UAE company must match the functions it performs, the assets it uses and the risks it controls. A thinly staffed UAE entity that books large profits invites transfer pricing challenge, at home or abroad. The Corporate Tax Law also has a general anti-abuse rule for arrangements whose main purpose is a tax advantage without valid commercial reasons.

Minimum tax for large groups

Multinational groups within the scope of the global minimum tax rules face a domestic minimum top-up tax in the UAE. Those rules reduce the top-up for groups with genuine payroll and tangible assets in a jurisdiction, so real substance can have a direct cash value. See our guide to the UAE domestic minimum top-up tax.

What this means by type of company

Holding companies. Pure equity holding companies faced a reduced economic substance UAE test under the old rules. Under corporate tax, dividends and capital gains from qualifying shareholdings can be exempt, but a holding company that wants treaty protection on dividends from abroad still needs credible management in the UAE.

Headquarters and service centres. Group service companies were a core target of the old regime. Today their profits must reflect the services actually performed in the UAE, and headquarters services can be qualifying activities for a free zone company only with genuine substance in the zone.

Distribution businesses. Distribution and service centre activity was a relevant activity under the regulations. Under the free zone regime, distribution of goods in or from a designated zone can generate qualifying income, but only if the substance and other conditions are met.

Intellectual property companies. High-risk IP licensees faced the strictest economic substance UAE scrutiny. Under corporate tax, only income from qualifying intellectual property, broadly developed through the company's own research and development, benefits from the free zone rate, so passive IP holding structures are rarely attractive.

How to close out legacy ESR and test current substance

  1. Check the ESR portal record. Confirm which notifications and reports were filed for each year from 2019 to 2022, and whether any were missed.
  2. Collect FTA decisions. List every assessment, penalty and refund decision, with dates, and note any open review or appeal window.
  3. Claim refunds for later years. If penalties were paid for 2023 or later, follow the FTA's refund process.
  4. Preserve the legacy file. Archive the evidence of substance for the legacy years and secure portal credentials.
  5. Map current substance. For each UAE entity, record where core income-generating activities, decision-making and staff actually are.
  6. Test against corporate tax conditions. Apply the free zone substance test, effective management, transfer pricing and treaty requirements.
  7. Close the gaps. Hire, relocate decision-making, formalise outsourcing or restructure, and document the result for each tax period.

An illustrative scenario

This scenario is illustrative only and uses generic parties.

A free zone holding company owns subsidiaries in India and the UK and also provides headquarters services to them. It filed economic substance notifications for 2019 to 2022 but missed one report and received a penalty, which it never appealed. In 2023 it paid a further penalty for a late notification.

The company first applies for a refund of the 2023 penalty, which falls within the repeal. It then takes advice on the unappealed legacy penalty: if the appeal window has closed, settling it may be the practical answer before a planned bank refinancing.

Looking forward, the company wants qualifying free zone person status and treaty relief on dividends. Its board has met in London and its only employee is a part-time administrator. To support the 0% rate and its residence position, it appoints a UAE-resident finance director, holds board meetings in the UAE, documents decision-making there and prices the headquarters services at arm's length.

Risks and common mistakes

Treating the repeal as an amnesty

The repeal applies to financial years from 2023. It does not cancel obligations or penalties for 2019 to 2022. Licensees that ignore legacy assessments may find them enforced, and unresolved liabilities can delay licence renewals, deregistration or a sale. A company planning to close a UAE company should clear its legacy economic substance position as part of the liquidation checklist.

Assuming substance no longer matters

The economic substance UAE filings have ended, but substance is now tested through corporate tax. A free zone company with no real staff or decision-making in its zone can lose the 0% rate for five tax periods. A UAE holding company without real management may be denied treaty benefits abroad. In many ways the stakes are higher than under the old penalty regime.

Relying on a flexi-desk and nominee directors

A licence, a flexi-desk and UAE-resident directors who sign what they are sent do not show that core activities or management happen in the UAE. Tax authorities look at who actually takes decisions, where and with what information. Board packs, minutes, emails and travel records are the evidence, and they need to be consistent.

Losing the legacy records

Staff turnover, changes of corporate service provider and expired portal logins often mean that, years later, nobody can show what was filed or why. If the FTA raises a query on a legacy year, the licensee will need the original filings and evidence. Archive them now, with access details, alongside the company's statutory records.

DIFC, ADGM and the cross-border angle

The economic substance rules applied to licensees across the mainland, free zones and the DIFC and ADGM, and the corporate tax substance tests also apply in all of them. DIFC and ADGM entities are not automatically qualifying free zone persons; they must meet the same conditions as other free zone companies.

For groups headquartered in the UK, India, Bangladesh, Singapore or China, the home country's rules often matter as much as the UAE's. Controlled foreign company rules, management and control tests and treaty anti-abuse provisions can all look at UAE substance. Align the UAE structure with the home-country analysis, and with the UAE corporate tax position, before relying on either.

What to do next: a checklist

Use this list to close out the legacy economic substance UAE position and to evidence substance for corporate tax going forward. Most items can be completed with the company's existing records, but the review is best done before the next corporate tax return is filed rather than after a query arrives.

  • Confirm the filing status of each legacy year from 2019 to 2022.
  • List open FTA assessments and check review and appeal deadlines.
  • Apply for refunds of penalties paid for 2023 or later years.
  • Archive legacy evidence and secure portal access.
  • Map current staff, premises and decision-making for every UAE entity.
  • Test free zone companies against the adequate substance condition.
  • Review residence, treaty and transfer pricing positions together.
  • Document substance contemporaneously for each tax period.

Frequently asked questions

01Are the UAE Economic Substance Regulations still in force?

Not for new periods. Cabinet Decision No. 98 of 2024 amended Cabinet Resolution No. 57 of 2020 so that economic substance notifications and reports are not required for financial years from 2023 onwards. The regulations still govern the 2019 to 2022 period, so licensees remain responsible for filings, information requests and penalties for those years. Substance requirements now arise mainly through the corporate tax regime.

02Do I still need to file an ESR notification or report?

Not for financial years from 2023 onwards. If your company should have filed a notification or report for any year between 2019 and 2022 and did not, you should take advice on making the filing late through the Ministry of Finance's economic substance portal and on the likely penalty. Companies with non-calendar financial years that straddle the cut-off should check the position against the decision itself.

03Can I get a refund of an economic substance penalty?

Penalties imposed for financial years after the cut-off are cancelled and amounts already paid are to be refunded through the Federal Tax Authority. Penalties for 2019 to 2022 are not refunded by the repeal. If you dispute a legacy penalty, check whether the review or appeal window is still open; appeals are made through the Ministry of Finance's economic substance services.

04What substance does a qualifying free zone person need?

It must carry out its core income-generating activities in its free zone, with adequate assets, an adequate number of qualified full-time employees and adequate operating expenditure. Outsourcing to a provider in the free zone is permitted if the company adequately supervises it. The detail is in Cabinet Decision No. 100 of 2023 and the related ministerial decisions. Failing the test removes the 0% rate for that tax period and the following four.

05Does substance affect my UAE tax residency certificate?

Yes, in practice. The FTA issues tax residency certificates based on UAE incorporation or effective management and control in the UAE, but foreign tax authorities often look behind the certificate when a treaty benefit is claimed. A UAE company whose board meets abroad and has no staff may be treated as resident elsewhere or denied treaty relief under anti-abuse provisions. Real management and activity in the UAE support the claim.

06Did the economic substance rules apply in DIFC and ADGM?

Yes. The economic substance regime applied to licensees carrying on relevant activities across the mainland, free zones and the financial free zones, including DIFC and ADGM. The legacy obligations for 2019 to 2022 therefore apply to them too. Under corporate tax, DIFC and ADGM entities can seek qualifying free zone person status only if they meet the same substance and other conditions as other free zone companies.
