Virtual CFO services Dubai companies buy give them senior finance leadership on a part-time basis: reporting, cash, funding and tax governance without a full-time hire. This guide explains what the role covers, how engagements are priced and the contract terms on authority, liability, confidentiality and data that protect the business.

Key pointThe biggest risk in a virtual CFO engagement is not the quality of the reports but unchecked authority: sole bank signing rights, an undefined tax role and a liability cap set at one month's fee.

At a glance

01

What the role covers

Reporting, cash and treasury, funding support, tax governance and controls, delivered part-time or on retainer rather than by a full-time employee.

02

Accountability stays inside

Managers and directors remain responsible for proper accounts under the Commercial Companies Law, even when the finance function is outsourced to a provider.

03

Tax agent is separate

Only a tax agent registered with the Federal Tax Authority can act as one, so the contract should say who files and who represents.

04

Data protection applies

Payroll, customer and investor data handled by the CFO is personal data under federal, DIFC or ADGM law, so processing terms are needed.

05

Watch success fees

Fees linked to capital raised can touch regulated investment activity in the DIFC, ADGM or onshore, so review them before signing.

Virtual CFO services Dubai: the short answer

Virtual CFO services Dubai businesses buy are a senior finance leader on a part-time or retained basis: someone who owns reporting, cash, funding, budgeting and tax governance without being a full-time employee. Typical clients are founder-led companies, family businesses, venture-backed start-ups and regional subsidiaries that have outgrown a bookkeeper but cannot yet justify, or recruit, a full-time chief financial officer.

The commercial case is simple: board-level finance judgement for a fraction of the cost. The legal case is less often discussed. A virtual CFO sees bank mandates, payroll, investor data and tax positions, may sign documents or instruct banks, and influences decisions for which directors and managers remain personally accountable. The engagement contract therefore matters as much as the CV.

This guide, current as of October 2026, explains what a virtual or part-time CFO does, how engagements are scoped and priced, and which confidentiality, liability, authority and data-protection terms to put in the contract. The accounting, reporting and audit-facing work is delivered with our group company A&A Consultancy; TRW & Co, as a law firm, covers the legal and regulatory side: the engagement terms, governance, data protection and any funding or tax disputes.

What a virtual or part-time CFO actually does

The title covers a wide range. At one end is a monthly review of management accounts; at the other is a near-embedded finance lead who attends board meetings, runs a fundraising process and manages the audit. Good virtual CFO services Dubai companies use are defined by outcomes rather than hours, usually across five workstreams.

Reporting and management information

The CFO designs the monthly pack: profit and loss against budget, balance sheet, cash flow, key performance indicators and commentary. They set the close calendar and review the work of the bookkeeping team. Our guide to MIS reporting explains what a good pack contains.

Cash and treasury

Thirteen-week cash forecasts, working capital discipline, bank relationships, facility headroom and covenant monitoring. For many owner-managed businesses this is the single most valuable part of the role; see our guide to cash flow management in the UAE.

Funding and transactions

Preparing financial models and data rooms, supporting debt and equity raises, answering due diligence questions and working with lawyers on term sheets and disclosure. A CFO who understands how warranties and completion accounts work saves money on every transaction.

Tax governance

Owning the corporate tax and VAT calendar, making sure the books support the returns, keeping transfer pricing and related-party records in order and preparing for e-invoicing. The CFO is accountable for the process; filings and tax representation before the Federal Tax Authority (FTA) are handled by the business itself or by a registered tax agent.

Controls and the audit

Approval limits, segregation of duties, reconciliations and the audit timetable. Where an audit is required, the CFO is usually the auditor's main counterpart.

No UAE law licenses "CFOs" as such. The role sits inside several regimes, and each one shapes the contract.

  • Company law. Federal Decree-Law No. 32 of 2021 on Commercial Companies, amended by Federal Decree-Law No. 20 of 2025 (in force since late 2025), places duties on managers and boards to keep proper accounts and prepare annual financial statements. Those duties stay with the managers and directors even when the work is outsourced. DIFC and ADGM companies follow their own companies regimes with similar accounting duties.
  • Tax procedures. The FTA keeps a register of tax agents, and only a registered tax agent can act as one before the Authority. A virtual CFO who is not registered should not be presented as the company's tax agent.
  • Corporate tax records. The Corporate Tax Law makes accounting profit the starting point for taxable income, and the FTA requires corporate tax records to be kept for at least seven years. Audited statements are required for some taxpayers under Ministerial Decision No. 84 of 2025; see our guide to audited financial statements for corporate tax.
  • Data protection. Onshore, Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data applies to payroll, customer and investor data the CFO handles. DIFC and ADGM entities follow their own data protection laws.
  • Anti-money laundering. Federal Decree-Law No. 10 of 2025 replaced the 2018 AML law. Accountants and auditors are among the designated non-financial businesses and professions, so a CFO provider may have its own due diligence obligations and will ask for ownership and source-of-funds information.
  • Contract law. For onshore engagements, the new Civil Transactions Law (Federal Decree-Law No. 25 of 2025) has been in force since 1 June 2026 and governs the general rules of contract, including interpretation and liability.
Practical point

Outsourcing the finance function does not outsource accountability. If the accounts are wrong, a return is late or a covenant is breached, regulators, banks and shareholders will look first to the company's managers and directors. The contract should make the CFO's responsibilities clear enough that the board can show it supervised them; our page on directors' duties and liability explains why that matters.

Engagement models and pricing compared

Virtual CFO services Dubai providers usually offer three models. Prices vary widely with scope, seniority and sector, so we do not quote figures; the structure of the fee matters more than the headline number.

Common engagement models for virtual CFO services Dubai companies use
ModelHow it is pricedBest forLegal watch-points
Monthly retainerFixed fee for a defined set of deliverables and days per monthSteady-state reporting, cash and board supportTight scope schedule; change control for extra work; service levels for the monthly pack
Project or interimDay rate or fixed project feeAudit catch-up, system migration, a fundraise or a gap between full-time CFOsClear end date, handover duties, ownership of models and files
Retainer plus success feeLower retainer with a fee linked to a raise or facilityCompanies preparing for debt or equity fundingWhether the success fee activity is regulated; conflicts; fee triggers and tail periods
Part-time employmentSalary for agreed hours under a part-time contractGroups that want the CFO inside the organisation and on the payrollLabour Law obligations, work permit, end-of-service benefits, restrictive covenants

Two pricing points cause most disputes. The first is scope creep: a retainer priced for monthly reporting that quietly absorbs an audit, a bank refinancing and a system change. The second is the success fee. Arranging investment or introducing investors can amount to a regulated activity in the DIFC, ADGM or onshore, depending on how it is done and who the investors are, so a fee tied purely to capital raised deserves legal review before signing. Our page on venture capital investments covers the funding side.

How to set up a virtual CFO engagement: step by step

  1. Diagnose the need. List the decisions and deadlines of the next twelve months: audit, corporate tax return, fundraise, bank renewal, e-invoicing go-live. The scope should follow from these, not from a generic package.
  2. Check the provider. Confirm the provider's licence and legal entity, the named individual's qualifications and UAE experience, professional indemnity insurance and any conflicts, including whether the same firm audits you.
  3. Agree a written scope. Put deliverables, frequency, days on site, response times and exclusions in a schedule. State expressly what the CFO does not do, such as tax representation or legal advice.
  4. Define authority. Decide whether the CFO will be a bank signatory, approve payments, sign returns or hold a power of attorney. Record each authority in a board resolution, with limits and dual control.
  5. Negotiate the legal terms. Confidentiality, data protection, intellectual property in models and reports, liability caps, insurance, non-solicitation, termination and handover (see below).
  6. Onboard with controls. Give access by named user rather than shared passwords, log what is shared, and set up the reporting calendar and board attendance.
  7. Review quarterly. Compare delivery against the scope, adjust the retainer and decide whether the company now needs a full-time CFO.

The contract terms that matter

Many virtual CFO services Dubai providers work on short standard terms written for bookkeeping. A CFO engagement needs more, because the access and influence are greater.

Confidentiality and conflicts

The CFO will see pricing, margins, investor terms and often personal data about owners. A mutual confidentiality clause is not enough on its own: add a restriction on using information for other clients in the same sector, a duty to disclose conflicts (for example, acting for a competitor or a counterparty in a deal), and survival of the obligation after termination. If the provider also offers audit or valuation services, record how independence is protected; an auditor cannot audit work its own team prepared.

Liability caps and professional indemnity

Providers typically cap liability at a multiple of fees and exclude indirect loss. That may be reasonable for bookkeeping but thin for a CFO advising on a facility or a sale. Negotiate a cap that reflects the risk, carve out wilful misconduct, fraud and breach of confidentiality, and ask for evidence of professional indemnity insurance at a stated level. Remember that, onshore, mandatory rules of the Civil Transactions Law may limit how far liability for fraud or gross error can be excluded.

Authority, signing and bank mandates

The most serious losses arise when a part-time CFO has sole payment authority. Banks act on the mandate they hold, not the scope in your contract. Keep the CFO as a second signatory or approver, set transaction limits, and revoke access the day the engagement ends. Any power of attorney should be specific, time-limited and notarised where the counterparty requires it.

Data protection and data location

Payroll and investor records are personal data. The contract should include data processing terms: purpose, security measures, sub-processors, breach notification and return or deletion at the end. If the CFO works from outside the UAE or uses foreign cloud tools, check the cross-border transfer rules of the regime that applies to you (federal, DIFC or ADGM). Our page on data processing agreements sets out the clauses.

Intellectual property, records and handover

Financial models, board packs, policies and process notes should belong to the company, with the provider keeping only its generic know-how. Require a handover on termination: files, passwords, a status note on open items and reasonable cooperation with the successor. Without it, companies lose months rebuilding models and explaining history to auditors.

Employment and misclassification

A "virtual" CFO who works fixed hours under the company's direction, uses its email and is presented as staff may in substance be an employee. That brings Labour Law consequences: a work permit, end-of-service gratuity and termination rules. Either structure the engagement as a genuine services contract with an independent provider, or use a proper part-time employment contract. Our page on executive employment explains the options.

Illustrative scenario

This scenario is illustrative and does not describe a real client.

A Dubai mainland trading company with growing revenue appoints a part-time CFO on a monthly retainer. The founder, keen to save time, makes the CFO a sole signatory on the main operating account and asks them to "look after tax". Eighteen months later the company is preparing for a bank facility. The lender's due diligence finds that a related-party loan was never documented, the corporate tax return relied on unaudited accounts although the group's revenue now requires an audit, and the CFO's contract caps liability at one month's fee.

The fixes are straightforward but should have come first. The board resolution is replaced with dual signing and limits. The scope is rewritten to make the CFO responsible for the tax calendar and data, while a registered tax agent handles filings and FTA correspondence. The related-party loan is documented at arm's length, the audit is commissioned and the liability cap is renegotiated with insurance evidence. The facility closes later than planned, which is the real cost of an under-specified engagement.

Choosing between virtual CFO services Dubai providers

We do not rank providers of virtual CFO services Dubai businesses can choose from. The objective tests below separate strong engagements from weak ones:

  • Named individual. Who will actually do the work, with what qualifications and UAE experience, and who covers absences?
  • Sector fit. Real estate, trading, healthcare and regulated financial services each have specific reporting and regulatory demands.
  • Bench strength. Can the provider supply bookkeeping, payroll and systems support, or will you coordinate several firms?
  • Independence. Does the same firm propose to audit you? If so, the CFO role is likely incompatible.
  • Insurance and terms. Is there professional indemnity cover, and are the standard terms negotiable?
  • Exit. How easy is it to end the engagement and recover your files and models?

Our guide to choosing a tax agent applies similar criteria to tax representation.

Cross-border groups and remote CFOs

Many UAE companies are part of groups headquartered in India, the UK, Bangladesh, Singapore or elsewhere, and their virtual CFO may sit abroad. Three issues follow.

First, data transfers: moving payroll or customer data outside the UAE requires a lawful basis under the applicable data protection regime. Second, tax presence: a foreign CFO habitually concluding contracts for a UAE company, or a UAE-based CFO doing so for a foreign parent, can raise permanent establishment and residence questions on both sides.

Third, governing law: a contract with a foreign provider should state which law applies and where disputes go, whether UAE courts, the DIFC or ADGM courts, or arbitration. TRW & Co's offices in Dhaka, London, Singapore and elsewhere help coordinate those positions across the group.

Checklist before you sign

  • Is the scope written as deliverables and deadlines, with exclusions?
  • Is it clear who files tax returns and who represents the company before the FTA?
  • Are bank and payment authorities limited, dual-controlled and recorded by board resolution?
  • Do the confidentiality, conflict and independence terms fit the provider's other services?
  • Are data processing terms and cross-border transfers covered?
  • Do the liability cap and insurance reflect the real risk of the role?
  • Does the company own the models and reports, with a handover on exit?
  • Is the arrangement a genuine services contract, or should it be a part-time employment contract?

Frequently asked questions

01What is the difference between a virtual CFO and an accountant?

An accountant or bookkeeper records transactions and prepares accounts. A virtual CFO sits above that work: they design the reporting, interpret the numbers for the board, manage cash and banking relationships, support fundraising and own the tax and audit calendar. In practice a small company often has both, with the bookkeeping outsourced and the CFO reviewing it monthly. The distinction matters contractually, because the CFO influences decisions, so liability, authority and confidentiality terms should be stronger than in a bookkeeping engagement.

02How much do virtual CFO services in Dubai cost?

There is no regulated fee scale, and prices vary with seniority, sector and the number of days involved. Most engagements are a monthly retainer for defined deliverables, a day rate or project fee for interim work, or a lower retainer plus a success fee for a funding round. Compare proposals on scope rather than price: what is delivered each month, how many days, who does the work and what is excluded. A cheap retainer that excludes the audit, tax calendar and board meetings is rarely cheap in practice.

03Can a virtual CFO file our corporate tax and VAT returns?

A CFO can prepare and review the data, and a company can file its own returns through EmaraTax using its authorised users. Acting as a tax agent before the Federal Tax Authority is different: only a tax agent registered with the FTA can do that. If your CFO provider is not registered, appoint a registered tax agent for representation and make clear in both contracts who prepares, who reviews and who submits each return. Corporate tax records must be kept for at least seven years.

04Should a part-time CFO be a bank signatory?

Usually only as a second signatory or approver, with transaction limits. Banks act on the mandate they hold, so a contract term limiting the CFO's role does not protect you if the bank mandate gives sole authority. Record the authority by board or manager resolution, use dual control for payments, review access monthly and revoke it immediately on termination. Any power of attorney should be specific in scope and time-limited.

05Is a virtual CFO an employee under UAE labour law?

Not if the engagement is a genuine services contract with an independent, licensed provider. Risk arises where the individual works fixed hours under the company's direction, uses its email and is held out as staff, because the relationship may then look like employment, with work permit and end-of-service consequences. The Labour Law recognises part-time work, so if the company wants the CFO inside the organisation, a proper part-time employment contract is often the cleaner route.

06What should happen when a virtual CFO engagement ends?

The contract should require a structured handover: all files, models and board papers returned, passwords and bank access removed, a written note of open items and deadlines, and reasonable cooperation with the successor and the auditors for a defined period. Make sure the company owns the models and reports produced during the engagement. Confidentiality and data deletion obligations should survive termination.
